Formation of a German Limited Company or GmbH

German Limited

A German Limited requires a capital of 50,000 € and must be deposited with 25 % only - 12,500 € at establishment for registered shares. The holders of ordinary shares are shown in the commercial register. A Share capital of 50,000 € has to be up in full for anonymous bearer shares.

The German Limited plays a leading role in German and international business and is suitable for larger SME's or businesses with a high demand of capital. If you are not sure, consider a German GmbH as an option or alternative as it is more flexible and less regulated by law.

German GmbH

A German GmbH requires a capital of 25,000 € and must be deposited with 50 % - 12,500 € at establishment. The holders of ordinary shares are shown in the commercial register. Anonymisation is posible via trust mandates only.

The German GmbH plays a leading role in German and international business and is suitable as an alternative for our German Limited as it is more flexible and less regulated by law.

Since 2008, there's an option for a "Mini" GmbH, similiar to a UK Limited.

German "Mini" GmbH

A German "Mini" GmbH requires a minimum capital of 1 €. However, it is mandatory to pay 25 % of its profits into a separate account until the normal minimum capital of a GmbH - 25,000 € - is reached. The holders of ordinary shares are shown in the commercial register. Anonymisation is posible via trust mandates only.

The German GmbH plays a minor role in German and international business and is suitable as an alternative for an UK Limited for German customers.

  • Share capital of 1 € only
  • Legal requirement to account for 25 % of its profits in a separate account until the capital of a normal GmbH of 25,000 € is reached
